Item 1.01 Entry into a Material Definitive Agreement.
     On December 8, 2005, The Sherwin-Williams Company entered into a Second Amendment and Restatement Agreement (the “Second Amendment”) with JPMorgan Chase Bank, N.A., as Administrative Agent, and the Lenders party thereto. The Second Amendment amends and restates the Five-Year Competitive Advance and Revolving Credit Facility Agreement, dated as of July 19, 2004, as amended and restated as of July 20, 2005, among Sherwin-Williams; the Lenders party thereto; JPMorgan Chase Bank, N.A., as Administrative Agent; Wachovia Bank, National Association, as Syndication Agent; and Bank of America, N.A., Citicorp USA, Inc. and National City Bank, as Co-Documentation Agents. The primary purpose of the Second Amendment is to add a $500 million letter of credit subfacility. A copy of the Second Amendment is filed as Exhibit 4 to this Report and is incorporated herein by reference.
