Items 1.01. Entry into a Material Definitive Agreement.
On March 31, 2006, the Corporation entered into a consulting agreement with Janice Henry, Senior
Vice President. Under the terms and conditions of the consulting agreement, Ms. Henry will provide
management consulting and advisory services to the Corporation for a period of three years
beginning on July 2, 2006 and ending on June 30, 2009. Ms. Henry will be compensated at a rate of
$15,000 per month, plus reimbursement of reasonable expenses.
