Item 1.01. Entry into a Material Definitive Agreement.
Item 8.01. Other Events.
     On January 10, 2006, Martin Midstream Partners L.P. (the “Partnership”) entered into an underwriting agreement (the “Underwriting Agreement”) with the underwriters noted below in connection with an underwritten public offering (the “Offering”) of 3,000,000 of its common units (“Common Units”) at a price to public of $29.12 per unit before an underwriting discount of $1.31 per unit. Pursuant to the Underwriting Agreement, the Partnership has granted the underwriters a 30 day option to purchase up to an additional 450,000 Common Units to cover any over-allotments in connection with the Offering. The Common Units to be sold in the Offering have been registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to the Partnership’s existing shelf registration statement (File No. 333-117023). The closing of the Offering is expected to occur on January 17, 2006, subject to satisfaction of customary closing conditions. The Partnership intends to use the anticipated net proceeds of $82.9 million from the Offering to repay indebtedness incurred in connection with recent acquisitions and to fund expansion and growth capital expenditures. Citigroup Global Markets Inc. has acted as the sole book-running manager for the Offering. Raymond James & Associates, Inc., RBC Capital Markets Corporation and A.G. Edwards & Sons, Inc. have served as co-lead managers, and KeyBanc Capital Markets has served as a co-manager for the Offering.
