(1)	The company's stock was first quoted as HYEG. OB on the OTC Bulletin Board, on September 6, 2005. Prior to that, it was quoted under the symbol GMTL.OB, and the company's name was Green Mt Labs, Inc. Green Mt Labs, Inc. acquired Hydrogen Engine Center, Inc. in a reverse merger transaction on August 30, 2005 and is in the process of completing the change of its name to Hydrogen Engine Center, Inc.
(2)	The shares of restricted stock were awarded on September 1, 2005 under the company's Incentive Compensation Plan for services as a director. This award vests immediately as to 10,000 shares, on September 1, 2006 as to 5,000 shares, and on September 1, 2007 as to 5,000 shares.
(3)	These options were awarded on September 1, 2005 under the company's Incentive Compensation Plan for services as an employee. These options become exercisable as to 20% immediately and 20% per year thereafter until fully vested.
(4)	These shares were issued September 1, 2005, upon conversion of promissory note held by the Reporting person.
