Turkcell management decided that, according to the Interconnection Settlement Agreement dated December 24, 2004, signed between Turkcell and Turk Telekom the principal amount of the total debt that Turkcell owes to Turk Telekom for the year 2006 amounting to approximately TRY 286.9 million (equivalent to $213.6 million as of December 21, 2005) shall be paid until the end of 2005 according to early payment option stated in the agreement.

We hereby confirm that the above-mentioned explanations are furnished as per the provisions of the Communiqué Serial no VIII/39, that they reflect all information we have gathered so far, that they are in accordance with our corporate documents, that we have used all endeavours to collect the complete and true related information and that we assume the responsibility for this disclosure.
