Item 8.01. Other Events.

On April 17, 2015, NewStar Financial, Inc. (the “Company”) issued a press release announcing that it priced its previously announced offering of senior notes, consisting of $300 million in aggregate principal amount of 7.25% Senior Notes due 2020 (the “Notes Offering”). Subject to customary closing conditions, the closing of the Notes Offering is expected on or about April 22, 2015. The press release is attached hereto as Exhibit 99.1 and incorporated by reference herein in accordance with Rule 135c of the Securities Act of 1933, as amended.
