Item 2.02 Results of Operations and Financial Condition.

On February 15, 2007, Halo Technology Holdings, Inc. (the "Company") issued a press release announcing its financial results for the fiscal quarter ended December 31, 2006. A copy of the press release relating to such announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company will discuss its financial results for the fiscal quarter ended December 31, 2006 on a conference call at 11:00 a.m. (EST) on February 15, 2007.
