Item 12. Disclosure of Results of Operations and Financial Condition.

 

On March 4, 2004, Jones Soda Co. issued a news release announcing its financial results for the fourth quarter and fiscal year ended December 31, 2003. A copy of this news release is attached as Exhibit 99.1.

 

As previously announced by the Company in a news release issued on February 26, 2004, the Company will hold its quarterly conference call to discuss the fourth quarter and year-end results on Thursday, March 4, 2004, at 1:30 pm Pacific Time (4:30 pm Eastern Time). This call is being webcast by CCBN and can be accessed at the Company’s web site at www.jonessoda.com/stockstuff/invest.html. The webcast is also being distributed over CCBN’s Investor Distribution Network to both institutional and individual investors.
