The registrant hereby amends this registration statement on such date or dates as may be necessary to delay its effective date until the registrant shall file a further amendment which specifically states that this registration statement shall thereafter become effective in accordance with section 8(a) of the Securities Act of 1933 or until the registration statement shall become effective on such date as the Commission, acting pursuant to said section 8(a), may determine.
On May 11, 2001, Microsoft Corporation (Microsoft) filed a Registration Statement on Form S-3, SEC 1933 Act Number 333-60782 (the Registration Statement), which was subsequently amended on June 6, 2001, covering 1,198,1701 shares of Microsofts common stock (the Common Stock) on behalf of certain Selling Shareholders of Microsoft.
The Registration Statement was filed in order to register shares of Common Stock issued to former shareholders of Ensemble Studios Corporation (Ensemble) and iCommunicate Holding, Inc. (iCommunicate), companies which had been acquired by Microsoft on May 4, 2001 and April 11, 2001 respectively.
Pursuant to the terms of the Agreement and Plan of Reorganization between Microsoft and certain former shareholders of iCommunicate and the terms of the Agreement and Plan of Reorganization between Microsoft and certain former shareholders of Ensemble, Microsofts obligation to maintain the effectiveness of the Registration Statement until the former shareholders of iCommunicate and Ensemble may have sold all of their Common Stock pursuant to Rule 144 has been satisfied. Accordingly, Microsoft hereby de-registers all of its Common Stock registered pursuant to the Registration Statement and remaining unsold thereunder.
1 Represents 2,396,340 shares of Common Stock after taking into account the two-for-one stock split effected by Microsoft on February 14, 2003.
