(1) Includes 5,236 shares of restricted stock granted under the Issuer's 2006 Long-Term Incentive Plan, as amended and restated from time to time (the "Plan"). The restricted stock is subject to certain vesting requirements.
(2) The Stock Options (the "Options") were granted under the Plan. The Options vest over four years: 25% on January 1, 2008, and 25% on each January 1st of the following three years.
(3) The Options were granted under the Plan and vest over four years: 25% on January 1, 2009, and 25% on each January 1st of the following three years.

(7) Represents units of limited partnership interest in DCT Industrial Operating Partnership LP ("DCTOP"), of which the Issuer is the sole general partner, issued as long term incentive compensation pursuant to the Issuer's equity based compensation programs. Conditioned upon minimun allocations to the capital accounts of the LTIP Units for federal income tax purposes, each LTIP Unit may be converted, at the election of the holder, into a common unit of limited partnership interest in DCTOP ("Common OP Unit"). Each Common OP Unit acquired upon conversion of an LTIP Unit may be presented for redemption at the election of the holder for cash equal to the fair market value of a share of the Issuer's Common Stock, except that the Issuer may, at its election, acquire each Common OP Unit so presented for one share of Common Stock.
(8) The LTIP Units vest over four years: 4,630 LTIP Units vest in four equal installments, 25% on January 1, 2009 and 25% on each January 1st of the following three years; 17,595 LTIP Units vest in four equal installments, 25% on January 1, 2010 and 25% on each January 1st of the following three years; 16,842 LTIP Units vest in four equal installments, 25% on January 1, 2011 and 25% on each January 1st of the following three years; and 17,297 LTIP Units vest in four equal installments, 25% on January 1, 2012 and 25% on each January 1st of the following three years.
