February 27, 2019

Colleagues,

As you may have seen, Wellington Management, a large shareholder, has issued a statement regarding their views on the Celgene transaction.

While we are very disappointed by the position of Wellington Management, we will continue our discussions with shareholders about this unique opportunity to create sustainable value. We believe that with continued discussions, shareholders will recognize the enhanced value this transaction would create and continue to believe strongly in the merits of the deal.

We believe that the Celgene transaction is the best path forward for our company and look forward to holding our special meeting of stockholders on April 12, 2019.

I know that the noise and speculation in the media may be distracting.  I encourage you to focus on delivering our business priorities for 2019 and the important work you are doing for patients.

Sincerely,

Giovanni
