EXPLANATORY NOTE

The Imperial Industries, Inc. Annual Report on Form 10-K and Amendment No. 1 for the fiscal year ended December 31, 2007 were filed with the U. S. Securities and Exchange Commission on March 31, 2008 and April 1, 2008, respectively (collectively, the “Original Filing”).  The only purpose of this Amendment No. 2 to Form 10-K/A is to correct language omitted from the certifications required under Rule 13a-14 of the principal executive officer and chief financial officer contained in Exhibit 31.1 and 31.2 of the Original Filing (the “Certifications”).

No other items of the Original Filing are being amended hereby.

The Certifications filed as exhibits to the Original Filing have been re-executed and are hereby re-filed with this Amendment No. 2.

This Amendment No. 2 should be read in conjunction with our other filings made with the Securities and Exchange Commission subsequent to the filing of the Annual Report on Form 10-K.
