Item 1.01.
Entry into a Material Definitive Agreement.

On December 31, 2018, Northern Oil and Gas, Inc. (the “Company”) entered into an amendment (the “Amendment”) to its amended and restated credit agreement, dated October 5, 2018 (the “Credit Agreement”), governing the Company’s revolving credit facility with Royal Bank of Canada, as administrative agent, and the lenders party thereto. Pursuant to the Amendment, the Company will be permitted to redeem up to $50 million of its 8.5% senior secured second lien notes due 2023, subject to compliance with certain conditions.

A copy of the Amendment is attached hereto as Exhibit 10.1 and is incorporated herein by reference. The description of the Amendment in this report is a summary and is qualified in its entirety by the terms of the Amendment.
