Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 31, 2008, Charles E. Phillips, Chairman of the Board of Directors
of the Company, resigned from the Board for health reasons.
Robert S. Corrigan, a current member of the Board of Directors, was
appointed Chairman of the Board to replace Mr. Phillips.
