Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 3, 2016, Wyck A. Knox, Jr., a member of the board of directors (the “Board”) of AGL Resources Inc. (the “Company”), retired from the Board in accordance with the Company’s mandatory retirement policy for directors. Mr. Knox has served as a director of the Company since 1998.
