The following talking points were provided to Wells Fargo Shareowner Services, the Company's transfer agent:
 
It was announced on August 24, 2015 that Southern Company will be acquiring AGL Resources (“AGL”).  The transaction is expected to close during the second half of 2016.  After the transaction closes, each AGL shareholder will be entitled to receive $66 in cash for each share of common stock they own and will receive instructions regarding the steps necessary to receive payment after the closing takes place.  This will be an all cash transaction and AGL shareholders will not receive Southern Company stock.  In the meantime, AGL shareholders will continue to receive any dividends as declared by the board of directors until the transaction closes.  With regard to potential tax consequences, AGL typically does not provide tax advice and suggests each shareholder contact a tax advisor with any tax questions they may have.
