Explanatory Note
 
We are filing this Amendment No. 1 to our current report on Form 8-K filed on June 15, 2009, for the purpose of clarifying that the EDGAR submission file should reflect that this Form 8-K reports disclosure pursuant to Item 7.01 Regulation FD Disclosure and not Item 8.01 Other Events.  All of the information contained in the original Form 8-K is reproduced in this amendment.
 
 
Item 7.01                       Regulation FD Disclosure
 
On June 12, 2009 Atlanta Gas Light Company (Atlanta Gas Light), a wholly-owned subsidiary of AGL Resources Inc., filed a Strategic Infrastructure Development and Enhancement program with the Georgia Public Service Commission describing its plan to invest $400 million over the next ten years to upgrade its distribution system and liquefied natural gas facilities to improve system reliability and create a platform to meet forecasted growth.

A press release announcing the program is furnished herewith as Exhibit 99.1.
