Aerojet Rocketdyne Executive Chairman Warren Lichtenstein Calls for Disclosure of Result of Committee’s Investigation into His Actions

Believes Shareholders Deserve to Know the Result to Make Informed Decisions

Reaffirms Desire to Hold 2022 Annual Meeting on June 27th, Provided Trial Regarding Eileen Drake’s Misuse of Corporate Resources is Completed in Late May, as Expected

Aerojet Rocketdyne Holdings, Inc. (NYSE: AJRD) (“Aerojet Rocketdyne” or the “Company”) Executive Chairman Warren Lichtenstein, who, collectively with his affiliates and the participants in his solicitation, owns approximately 5.2% of the Company's outstanding shares, today called on the Company’s Board of Directors (the "Board") to authorize the public release of the memorandum delivered to him and Eileen Drake summarizing the findings and conclusions of the Non-Management Committee of the Board on the months-long investigation into Mr. Lichtenstein’s actions.

Mr. Lichtenstein issued the following statement:

“Shareholders deserve to know what the Committee has reported to me and Eileen Drake about the investigation that Ms. Drake has squandered so much of their money on – and on which she has pinned so much hope of discrediting me. Counsel for Ms. Drake indicated in a Delaware Court hearing on May 3, 2022 that the investigation has concluded – thereby publicizing this fact. Given this state of affairs, we believe that shareholders are entitled to learn what Ms. Drake and I have been told about the investigation, instead of being left in the dark.

We have therefore sent a letter to Company counsel requesting that the Board authorize the public release of the culmination of the Committee’s work. Because the investigation is complete and the process has played out, and because counsel for Ms. Drake has publicly mischaracterized the investigation, there is no longer any justifiable basis to keep the result a secret.

We believe shareholders should have the result available to them so they can make a fully informed decision about the future of the Company. That is why we are also reiterating our desire to hold the Aerojet Annual Meeting on June 27th – at which point we expect shareholders to have been able to absorb critical information from the trial of Ms. Drake for alleged misuse of corporate resources.

We are disappointed that Ms. Drake continues to use Aerojet Rocketdyne as her personal piggy bank in a desperate bid to maintain power. Her efforts to call a Special Meeting are part and parcel of this strategy – forcing shareholders to potentially foot the bill for multiple solicitations. We believe it is egregious that Ms. Drake attempted to get access to up to $10 million of Company resources to wage this proxy fight. In an attempt to put a stop to this waste of shareholders’ money, we stand ready to pledge not to seek reimbursement for any of our proxy fight costs if Ms. Drake agrees to do the same.

We look forward to continuing to protect shareholders in the weeks ahead and ensuring they are fully apprised of all relevant facts before voting at the Annual Meeting.”

The participants in the proxy solicitation are anticipated to be SPHG Holdings, Steel Partners Holdings L.P., a Delaware limited partnership (“Steel Holdings”), SPH Group LLC, a Delaware limited liability company (“SPHG”), Steel Partners Holdings GP Inc., a Delaware corporation (“Steel Holdings GP”), WebFinancial Holding Corporation, a Delaware corporation (“WebFinancial”), Steel Excel, Inc., a Delaware corporation (“Steel Excel”), Steel Partners, Ltd., a Delaware corporation (“SPL”), Warren G. As of the date hereof, SPHG Holdings directly owned 1,497 shares of Common Stock, $0.10 par value, of the Company (the “Shares”), WebFinancial directly owned 3,482,572 Shares and Steel Excel directly owned 465,427 Shares. Steel Holdings owns 99% of the membership interests of SPHG. SPHG is the sole member of SPHG Holdings. Steel Holdings GP is the general partner of Steel Holdings, the managing member of SPHG and the manager of SPHG Holdings. Accordingly, each of Steel Holdings and Steel Holdings GP may be deemed to beneficially own the Shares directly owned by SPHG Holdings. SPHG owns 100% of the outstanding shares of common stock of WebFinancial. Accordingly, Steel Holdings, SPHG and Steel Holdings GP may be deemed to beneficially own the Shares directly owned by WebFinancial. SPHG Holdings owns 100% of the outstanding shares of common stock of Steel Excel. Accordingly, each of Steel Holdings, SPHG, SPHG Holdings and Steel Holdings GP may be deemed to beneficially own the Shares directly owned by Steel Excel. As of the date hereof, SPL directly owned 60,546 Shares. Mr. Lichtenstein is the Chief Executive Officer of SPL. Accordingly, Mr. Lichtenstein may be deemed to beneficially own the Shares directly owned by SPL. As of the date hereof, Warren G. Lichtenstein directly owned 207,953 Shares. An additional 526,695 Shares are held by a “rabbi trust,” the receipt of which has been deferred by Mr. Lichtenstein pursuant to the Company’s Deferred Compensation Plan for Nonemployee Directors. Such 526,695 Shares are not deemed to be beneficially owned by Mr. Lichtenstein. As of the date hereof, James R. Henderson directly owned 48,107 Shares. An additional 83,986 Shares are held by a “rabbi trust,” the receipt of which has been deferred by Mr. Henderson pursuant to the Company’s Deferred Compensation Plan for Nonemployee Directors. Such 83,986 Shares are not deemed to be beneficially owned by Mr. Henderson. As of the date hereof, Audrey A. McNiff directly owned 4,787 Shares. An additional 3,988 Shares are held by a “rabbi trust,” the receipt of which has been deferred by Ms. McNiff pursuant to the Company’s Deferred Compensation Plan for Nonemployee Directors. Such 3,988 Shares are not deemed to be beneficially owned by Ms. McNiff. As of the date hereof, Martin Turchin directly owned 108,066 Shares. Additionally, Mr. Turchin beneficially owned indirectly an aggregate of 12,500 Shares held in several trusts of which he is a trustee. An additional 5,886 Shares are held by a “rabbi trust,” the receipt of which has been deferred by Mr. Turchin pursuant to the Company’s Deferred Compensation Plan for Nonemployee Directors.
