Item 8.01 Other Events

On March 12, 2007, CIGNA Corporation (the "Company") entered into an Underwriting Agreement, among the Company, Banc of America Securities LLC, Deutsche Bank Securities Inc., Goldman, Sachs & Co. and Citigroup Global Markets Inc. for the issuance and sale by the Company of $250,000,000 5.375% Senior Notes due 2036 and $250,000,000 6.150% Senior Notes due 2036 (collectively, the "Notes"). The Notes are being sold pursuant to an effective shelf registration statement (File No. 333-136704). A copy of the Underwriting Agreement is filed as Exhibit 1.1 hereto.
