Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
     On March 7, 2008, Atlantis Plastics, Inc. issued a press release announcing its intention to voluntarily withdraw its Class A Common Stock from registration under the Securities Exchange Act of 1934, as amended, and to delist its Class A Common Stock from the Nasdaq Capital Market.
     A copy of the press release with respect to this matter is filed herewith as Exhibit 99.1 to this Form 8-K and is incorporated by reference into this Item 3.01.
