On September 12, 2002, American Retirement Corporation (“ARC”) issued a press release announcing that it has amended the terms of its exchange offer for its 5 3/4% Convertible Subordinated Debentures due 2002 and extended the expiration date of the exchange offer to September 25, 2002. The press release is attached hereto as Exhibit 99.
