Item 5.02.		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     (e)     As previously announced, Dennis L. Wanlass has been appointed to the Tronox Incorporated board of directors, effective Aug. 15, 2008. In addition, the board of directors named Wanlass interim chairman and chief executive officer. In connection therewith, Mr. Wanlass’ annual salary was increased from $500,000 to $640,000.
