Item 5.02.   Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On March 28, 2007, Jeffrey T. Soukup, PlanetOut Inc.’s (the “Company”) President and Chief Operating Officer, tendered his notice of resignation from all of his positions with the Company. Mr. Soukup may remain an employee of the Company through a transition period and has made a claim for severance payments under his employment agreement, which has been previously filed with the SEC.
