Item 5.02. Election of Director
On January 6, 2006, the Company filed a Form 8-K disclosing the appointment of Catherine P.
Lego to fill a newly-created directorship on the Board. Ms. Lego was not immediately named to any
Board committees. Such Form 8-K filing is amended to disclose that on February 17, 2006, the Board
named Ms. Lego to serve on its audit committee.
