ITEM 7.01. REGULATION FD DISCLOSURE

On November 28, 2005, Ashford Hospitality Trust, Inc. (the “Company”) announced that it placed a portfolio of eight non-core Residence Inns hotels under contract for sale for approximately $102.0 million, which includes the assumption of approximately $93.7 million of existing debt by the buyer.

The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
