ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On April 6, 2004, StemCells, Inc. (the “Company”) issued a press release reporting the Company’s financial results for the fourth quarter of fiscal year 2003 and the full 2003 fiscal year ended December 31, 2003 (the “Press Release”). The Press release also contains information regarding the report of Grant Thornton LLP, independent auditors, included in the Company’s 2003 Form 10-K. The Press Release is being furnished as Exhibit 99.1 to this Report.
