OTHER EVENTS Chesapeake Energy Corporation ("Chesapeake") issued a Press Release on August 5, 2002 announcing the offering of $250 million of senior notes due 2012. The following was included in the Press Release: Chesapeake today announced that it has commenced a private offering of $250 million senior notes due 2012. The senior notes being sold by Chesapeake will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The senior notes are expected to be eligible for trading under Rule 144A. The net proceeds from this offering will be used for funding three pending acquisitions totaling $132 million and to repay bank debt recently incurred to purchase $43 million of senior notes due in 2004 and to purchase $38 million of natural gas properties in Oklahoma from The Williams Companies. Remaining net proceeds will be used for general corporate purposes, including the funding of future acquisitions.
