EXPLANATORY NOTE

The information in this report is being filed pursuant to Instruction 2 to Item 5.02 of Form 8-K in order to provide additional information under Item 5.02(d)(3). This report updates information previously disclosed by the Registrant in Item 5 of Part II of its Form 10-Q filed on August 31, 2006.

ITEM 5.02 — ELECTION OF DIRECTOR

      (d)(3) On December 13, 2006, Ciena’s Board of Directors appointed Bruce L. Claflin to serve on the Audit Committee. Mr. Claflin was originally appointed to the Board of Directors on August 30, 2006.
