      On October 27, 2005, we announced a two-for-one stock split of our common stock to be effected in the form of a stock dividend, which we paid on November 21, 2005 to stockholders of record as of November 11, 2005. Share amounts presented in this prospectus supplement, including the conversion rate, have been adjusted to reflect the two-for-one stock split. Except as reflected in this prospectus supplement, the prospectus has not been adjusted to reflect the two-for-one stock split.


      This prospectus supplement relates to an aggregate principal amount of $300.0 million 2 7/8% convertible notes due 2034 and the 11,269,800 shares of our common stock issuable upon conversion of the notes. This prospectus supplement should be read in conjunction with and may not be delivered or utilized without our prospectus dated July 26, 2004, including any amendments or supplements thereto. The terms of the notes are set forth in the prospectus. The notes are not listed on any securities exchange. Our common stock is listed on the Nasdaq National Market under the symbol “NIHD.”
