     The following information is furnished pursuant to both Items 2.02 and 7.01.

     On August 3, 2011, Petroleum Development Corporation (dba PDC Energy) (the “Company”) issued a press release announcing an expanded 2011 capital budget, increase in 2011 production guidance and other operational matters. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

     On August 4, 2011, the Company issued a press release announcing its operating results for the quarter and six months ended June 30, 2011. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

     The Company previously scheduled a teleconference call with investors on Thursday, August 4, 2011, at 11:00 a.m. ET to discuss its second quarter 2011 results. A recording of the earnings call presentation and the related slide presentation will be posted on the Company’s website at www.petd.com.
