Item 1.01. Entry into a Material Definitive Agreement.
On July 14, 2010, Jefferies Group, Inc. (the “Company”) entered into a purchase agreement (the “Agreement”) with Jefferies & Company, Inc. whereby $150 million aggregate principal amount of 6.875% Senior Notes due 2021 (the “Notes”) were sold pursuant to the Company’s Shelf Registration Statement on Form S-3, as amended (File No. 333-160214). The closing occurred on July 19, 2010. A copy of the opinion issued by legal counsel to the Company with respect to the validity of the $150 million aggregate principal amount of 6.875% Senior Notes due 2021 issued at the closing is filed as Exhibit 5.1 hereto. The notes were offered as additional notes under an indenture, as supplemented by a supplemental indenture, pursuant to which the Company issued $400 million principal amount of the Notes on June 28, 2010.
