OTHER EVENTS On April 4, 2002, Peabody Energy Corporation (the "Company") entered into an Underwriting Agreement between the Company, certain stockholders named therein (the "Selling Stockholders") and Lehman Brothers Inc., Bear, Stearns & Co. Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. Incorporated, UBS Warburg LLC and A.G. Edwards & Sons, Inc., as the underwriters (the "Underwriters"), pursuant to which the Selling Stockholders will sell 9,000,000 shares of the Company's common stock pursuant to an effective shelf registration statement on Form S-3 (Registration No. 333-84174), as amended and supplemented by the prospectus supplement dated April 4, 2002. Certain of the Selling Stockholders also granted the Underwriters a 30-day option to purchase up to an additional 1,100,000 shares of its common stock.
