            Item 5.     Other Events.

            On February 21,  2003,  Tidel  Technologies,  Inc.  (the  "Company")
issued a press  release,  set  forth as  Exhibit  99.1 to this  Current  Report,
announcing  that it had  received a Nasdaq Staff  Determination  on February 14,
2003 indicating  that the Company fails to comply with the minimum  stockholders
equity   requirement  for  continued  listing  set  forth  in  Marketplace  Rule
4310(c)(2)(B), and that its securities are, therefore, subject to delisting from
the Nasdaq  SmallCap  Market.  The Company had an oral  hearing  before a Nasdaq
Listing  Qualifications  Panel (the "Panel") on February 20, 2003 to review this
deficiency,  as  well  as two  other  deficiencies  of  which  the  Company  had
previously  received  notices,  and is presently  awaiting the Panel's decision.
There can be no assurance  that the Panel will grant the  Company's  request for
continued listing.
