EXPLANATORY NOTE
 
This Amendment no. 1 to Form 6-K amends the Form 6-K filed on February 24, 2009 by Euroseas Ltd. (the “Company”) for the sole purpose of confirming that such Form 6-K has been superseded in its entirety by the Company’s Form 20-F filed with the Securities and Exchange Commission on May 18, 2009.
