 ITEM 1.01. Entry into a Material Definitive Agreement
On June 15, 2005, the Compensation Committee of the Board of Directors of American Eagle Outfitters, Inc. approved an increase in the annual salary of Mr. Jay Schottenstein, Chairman of the Board of Directors, from $250,000 to $275,000 effective as of July 1, 2005.  Additionally, in lieu of stock option grants Mr. Schottenstein will receive an annual stock grant of a number of shares equal in value to $200,000, based on the value of the Company's stock at the date of each Annual Meeting, to be issued under the Company's 2005 Stock Award and Incentive Plan.
