 ITEM 1.01. Entry into a Material Definitive Agreement
On June 15, 2005, based on the recommendation of the Nominating and Corporate Governance Committee, the Board of Directors (the "Board") of American Eagle Outfitters, Inc. (the "Company") approved the following compensation structure for non-employee directors, effective as of July 1, 2005:
  • an annual retainer for serving on the Board of $55,000, payable quarterly;
  • an annual retainer for serving on a standing committee of the Board of $20,000, payable quarterly;
  • an annual retainer for serving as the Chairman of the Audit Committee of $18,000, payable quarterly;
  • an annual retainer for serving as the Chairman of the Compensation Committee of $15,000, payable quarterly;
  • an annual retainer for serving as the Chairman of the Nominating and Corporate Governance Committee of $12,000, payable quarterly; and
  • in lieu of stock option grants, an annual stock grant of a number of shares equal in value to $100,000, based on the value of the Company's stock at the date of each Annual Meeting, to be issued under the Company's 2005 Stock Award and Incentive Plan.
 ITEM 7.01. Regulation FD Disclosure
The Company held its Annual Meeting of Stockholders on June 15, 2005.  A copy of the meeting transcript is attached hereto as Exhibit 99.1.
 ITEM 8.01. Other Events
On June 17, 2005, the Company issued a press release announcing that its Board of Directors raised its cash dividend to an annual rate of $0.30 per share from $0.20 per share.  A quarterly cash dividend of $0.075 per share was declared and is payable on July 8, 2005, to stockholders of record at the close of business on June 27, 2005.  A copy of the press release is attached hereto as Exhibit 99.2.
