Item 2.02. Results of Operations and Financial Condition

On November 11, 2004 American Eagle Outfitters, Inc. (the "Company") issued a press release announcing, among other things, the Company's financial results for the third quarter ended October 30, 2004. A copy of this press release is attached hereto as Exhibit 99.1. Additionally, the Company's Management team held a conference call on November 11, 2004 at 9:00 a.m. EST to review the aforementioned financial results. Item 8.01. Other Events
The Company's Management team held a conference call on November 11, 2004 at 9:00 a.m. EST to review the Company's financial results for the third quarter ended October 30, 2004. Additionally, Management provided fourth quarter 2004 and fiscal 2005 earnings guidance on the conference call. A copy of the conference call transcript is attached hereto as Exhibit 99.2.
