On October 11, 2002, Penn Treaty issued a press release announcing a reduction in the conversion price of its 6 1/4% Convertible Subordinated Notes due 2008 being offered in the Exchange Offer from $5.31 per share to $4.50 per share and the extension of the expiration date of the Exchange Offer from October 10, 2002, to 11:59 p.m., New York City time, on October 18, 2002.
