DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

Key Technology, Inc. (the "Company") announced on December 13, 2005 the resignation of Kirk W. Morton, President and Chief Executive Officer. Mr. Morton will resign all positions with the Company, including his positions as President, Chief Executive Officer and as a director, effective December 31, 2005 to become chief executive officer of a privately-held company.
