Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 2, 2005, Steve Demeritt, Vice Chairman of General Mills, Inc. (the “Company”), announced his retirement from the Company effective June 15, 2005. Mr. Demeritt has also resigned from his position on the Company’s Board of Directors effective June 15, 2005.

A copy of a press release dated May 3, 2005, related to Mr. Demeritt’s retirement and the expanded responsibilities of certain officers of the Company, is filed with this Current Report as Exhibit 99.1.
