Item 9. Regulation FD Disclosure
During Denny's Corporation's quarterly conference call for investors and
analysts on July 29, 2004, in response to a question raised during the Q & A
session, Nelson Marchioli, Denny's CEO, stated, with respect to restaurants
operated by the Company, that the Company estimates its July same-store sales
increase will be approximately 9% with same-store guest counts increasing
between 5% and 6%.

On July 29, 2004, Denny's Corporation issued a press release announcing
financial results for the second quarter ended June 30, 2004. A copy of the
