Item 8.01     Other Events.

On February 26, 2007, Overseas Shipholding Group, Inc. ("OSG") issued a press release announcing that OSG has entered into an agreement in principle to acquire the Heidmar Lightering business from Heidmar Inc., a subsidiary of Morgan Stanley Capital Group Inc. Such press release is attached to this Report as Exhibit 99.1 and is hereby incorporated by reference.
