ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On March 25, 2019, the Company announced that Rachel Endrizzi’s employment as Senior Vice President and Chief Marketing Officer will terminate March 31, 2019, under circumstances that entitle her to severance benefits under her employment agreement and the Company’s severance program. In addition, the separation agreement the Company submitted to Ms. Endrizzi provides that the Company will pay Ms. Endrizzi’s pro rata bonus at target for fiscal year 2019 and will provide Ms. Endrizzi continued coverage under the group executive medical reimbursement policy through March 31, 2020. Ms. Endrizzi’s receipt of the severance benefits under her employment agreement and other separation benefits is conditioned upon Ms. Endrizzi signing the separation agreement.
