Item 8.01.      Other Events.

On July 21, 2010, the board of directors (the "Board") of Integrated Device Technology, Inc. (“IDT”) approved a new stock repurchase plan (the "Plan"), effective immediately, to repurchase shares of the Corporation's issued and outstanding common stock, which authorizes IDT to repurchase up to $225 million of its common stock.  IDT intends to repurchase shares of its issued and outstanding common stock in the open market or through private transactions from time to time at management’s discretion, if business conditions warrant and it is practical for IDT to do so.  Repurchases will be made in accordance with the terms of Rule 10b-18 under the Securities Exchange Act of 1934, as amended.  The repurchases are intended to offset dilution from the issuance of new shares under IDT’s stock option plans.  The Plan does not obligate IDT to repurchase any specific number of shares and may be extended, suspended or discontinued at any time at management’s discretion without prior notice. IDT currently has 159 million shares outstanding.
