Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. 

(b)  On May 14, 2008, Ronald J. Rossi notified Mentor Corporation ("Mentor") that he resigned as a member of the Board of Directors of Mentor and all committees thereof, including the Compensation Committee and the Nominating and Governance Committee, effective May 19, 2008.  Mr. Rossi has served as a member of the Board of Directors since 1999.  There were no disagreements between Mr. Rossi and Mentor on any matter relating to Mentor's operations, policies or practices.
