Item 3.02 Unregistered Sales of Equity Securities

On December 22, 2004, Mechanical Technology Incorporated ("MTI" or "Company") sold 1,261,829 shares of the Company's common stock at a purchase price of $6.34 per share to Fletcher International, Ltd. ("Fletcher"). Proceeds from the sale were $8 million before fees and expenses.

The Certificate of Additional Investment Rights held by Fletcher International, Ltd. was revised to reflect this transaction, and is included as Exhibit 4.1 to this Report.

The sale of securities was a private placement transaction, exempt from registration under the Securities Act of 1933 pursuant to section 4(2) thereof.
