Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 1, 2007, Marc B. Crossman was appointed to the position of Principal Accounting Officer effective as of that date. Mr. Crossman currently serves as the President, Chief Executive Officer, Chief Financial Officer and Director of Innovo Group Inc. Mr. Crossman has served as our Chief Executive Officer since January 2006, our Chief Financial Officer since March 2003, our President since September 2004 and a member of our Board of Directors since January 1999. From January 1999 until March 2003, Mr. Crossman served as a Vice President and Equity Analyst with J.P. Morgan Securities Inc., New York City, New York. From September 1997 until January 1999, Mr. Crossman served as a Vice President and Equity Analyst with CIBC Oppenheimer Corporation. Mr. Crossman received his B.S. degree in Mathematics from Vanderbilt University.

There was no material plan, contract or arrangement (oral or written) to which Mr. Crossman is a party or in which he participates that was entered into or amended in connection with his appointment to this additional position.
