Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 15, 2006, Dennis W. Genge, resigned as Vice President and Treasurer and Chief Financial Officer from Novavax, Inc. Mr. Genge has moved to the Phoenix area but has agreed to continue as a part-time consultant until a new Chief Financial Officer has been appointed. Novavax has engaged an executive search firm to fill the position of Chief Financial Officer.
