Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(d) On April 11, 2006, the Registrant's Board of Directors elected G. Craig Sullivan as a director. His term will expire at the 2007 Annual Meeting of Shareholders. Mr. Sullivan has been named a member of the Compensation Committee and Committee on Corporate Responsibility and Compliance. Mr. Sullivan was not elected pursuant to any arrangement or understanding between him and any other persons. A copy of the news release issued by The Goodyear Tire & Rubber Company on Tuesday, April 11, 2006, announcing the election of Mr. Sullivan is attached hereto as Exhibit 99.1.
