On July 22, 2005, Manor Care, Inc. issued a news release to report its financial results for the second quarter of 2005. A copy of this press release is filed herewith as Exhibit 99.1.





Item 7.01 Regulation FD Disclosure.

On July 22, 2005, we announced that our Board of Directors approved an additional $300 million in share repurchase authority though December 31, 2006, with such amount subject to obtaining required amendments under our credit facility if fully utilized during 2005.
